These Terms & Conditions ("Terms") govern your access to and use of the EMI Locker platform (operated by Softcoderz, accessible at emivault.com), including the partner panel, API, mobile app, and all associated services. By registering, accessing, or using EMI Locker, you agree to be bound by these Terms.

1. Definitions

  • "Platform" refers to the EMI Locker web application, partner panel, REST API, Android DPC app, and any related services offered at emivault.com.
  • "Partner" refers to any registered user of the Platform acting in the capacity of Retailer, SalesPerson, Distributor, or SuperDistributor.
  • "End Customer" refers to an individual whose financed Android device has been enrolled on the Platform by a Partner.
  • "Activation Key" refers to a single-use digital licence that activates EMI Locker's device policy controller on one Android device.
  • "We", "Us", "Our" refers to Softcoderz, the operator of EMI Locker.
  • "You" refers to the Partner, Administrator, or other authorised user accessing the Platform.

2. Eligibility & Registration

  • You must be at least 18 years old and legally capable of entering a binding agreement to use the Platform.
  • You must register for an account and provide accurate, complete, and up-to-date information including KYC documents (Aadhaar and PAN for India-based partners) as required.
  • Your account activation is subject to approval by your hierarchy parent (Distributor, SuperDistributor, or Admin). We reserve the right to reject, suspend, or revoke any account at our discretion.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
  • You must notify us immediately at info@emivault.com if you suspect unauthorised access to your account.

3. Platform Services

3.1 Device Enrollment & Remote Control

EMI Locker allows Partners to enroll financed Android devices using Google's Device Policy Controller (DPC) APIs. Upon enrollment, Partners gain the ability to:

  • Remotely lock, unlock, or restrict enrolled devices when customers default on EMI payments
  • Send on-device EMI alerts, audio notifications, and policy-driven restrictions
  • Track GPS location of enrolled devices (where permitted by applicable law)
  • Lock the camera, restrict calls, or impose app-level restrictions on enrolled devices

Partner responsibility: You must obtain clear, written or recorded informed consent from the End Customer before enrolling their device. The End Customer must be made fully aware that the device is subject to remote restrictions if EMI payments are missed. Failure to obtain proper consent is a violation of these Terms and may expose you to legal liability.

3.2 Activation Key System

  • Activation Keys are sold on a per-device basis. Each key activates EMI Locker on exactly one Android device.
  • Keys are non-refundable once transferred or used unless agreed otherwise in writing by us.
  • You may purchase, transfer, and sell keys within the permitted hierarchy levels of your account.
  • Demo keys are provided for testing purposes only and must not be used on live customer devices.
  • The base platform price per key is established by the Admin. Each hierarchy level may set its own resale price above their cost.

3.3 Wallet & Payments

  • All financial transactions (key purchases, transfers, payments) are tracked in your platform wallet in real time.
  • Manual payment records including transaction references, amounts due, and payment status are binding records for dispute resolution.
  • Outstanding balances must be settled within the agreed due dates. Repeated defaults may result in account suspension.
  • We are not a payment processor or financial institution. Wallet balances reflect operational credits within the platform only.

3.4 AI Features

EMI Locker's AI features — including risk scoring, fraud detection, auto-lock decisions, and collection reminders — are provided as decision-support tools. They do not constitute financial advice. Final decisions to lock, unlock, or collect remain the Partner's responsibility.

4. Partner Obligations

  • You will use the Platform only for lawful purposes and in compliance with all applicable local, state, national, and international laws.
  • You will not enroll a device without the informed consent of the device owner.
  • You will not use remote lock features for purposes other than enforcing legitimate EMI payment defaults.
  • You will maintain accurate device records, customer information, and EMI schedules on the Platform.
  • You will not attempt to reverse-engineer, decompile, or tamper with the Platform, its APIs, or the Android DPC app.
  • You will not share your account credentials, API tokens, or access with unauthorised persons.
  • You will not use the Platform to harass, threaten, or unlawfully coerce End Customers.
  • You will promptly unlock a device when an EMI payment has been made or a dispute is raised in good faith.

5. End Customer Rights & Your Obligations Toward Them

EMI Locker is a B2B tool. You, as the Partner, are the data controller for your End Customers' data submitted to the platform. You are responsible for:

  • Informing End Customers about device enrollment, remote control capabilities, and data collected about their device
  • Providing End Customers with a mechanism to raise payment disputes
  • Promptly responding to End Customer requests to access or correct their data
  • Complying with applicable consumer protection laws, including the Consumer Protection Act (India) and similar laws in Bangladesh
  • Not using lock features as a tool for extortion or unlawful debt collection

6. Intellectual Property

  • All software, code, UI, documentation, and branding of EMI Locker are the intellectual property of Softcoderz and are protected by copyright and other applicable IP laws.
  • You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your authorised business operations only.
  • You may not copy, redistribute, sublicense, or create derivative works from any part of the Platform without our express written consent.

7. Prohibited Activities

You must not use the Platform to:

  • Lock devices for reasons other than legitimate EMI non-payment
  • Enroll devices without the owner's informed consent
  • Attempt to access accounts, data, or systems you are not authorised to access
  • Introduce malware, viruses, or malicious code into the Platform
  • Conduct fraudulent key transactions or inflate wallet balances
  • Impersonate another partner, distributor, or official of EMI Locker
  • Violate any applicable law including data protection, consumer protection, or financial regulations

8. Service Availability & Modifications

  • We aim for high availability but do not guarantee uninterrupted service. The Platform may be temporarily unavailable for maintenance, upgrades, or unforeseen outages.
  • We reserve the right to modify, suspend, or discontinue any feature of the Platform with reasonable advance notice where practicable.
  • Key pricing, hierarchy fees, and platform charges may be updated with 30 days' notice to active Partners.

9. Account Suspension & Termination

  • We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or cause harm to End Customers or other Partners.
  • You may request account deletion by contacting info@emivault.com. Outstanding key balances and financial obligations must be settled before deletion.
  • Upon termination, your access to the Platform ceases. Device records remain available for the legally required retention period to support dispute resolution.

10. Limitation of Liability

To the maximum extent permitted by law:

  • We provide the Platform "as is" and "as available" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
  • Our total aggregate liability for any claim arising from these Terms shall not exceed the total fees paid by you to us in the 3 months preceding the claim.
  • We are not responsible for the actions of Partners toward End Customers. Partners bear full legal responsibility for how they deploy and use remote device control.

11. Indemnification

You agree to indemnify, defend, and hold harmless Softcoderz, its officers, employees, and agents from any claims, losses, liabilities, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your unlawful or unauthorised use of the Platform
  • Your misuse of remote device control features
  • Any claim by an End Customer arising from your device enrollment or locking actions

12. Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the «Last updated» date above. Continued use of the Platform after updated Terms are posted constitutes your acceptance of the changes. Material changes will be communicated via email or a platform notice.
